General Terms and Conditions

The following General Terms and Conditions (GTC) govern the contractual relationships between ThermoNetz AG and its customers in the context of offers, deliveries and services. They form an integral part of all contracts concluded, unless expressly agreed otherwise in writing.

These GTC serve to provide transparency and clarity regarding mutual rights and obligations. Please read the following provisions carefully.

1. scope of application

These GTC apply to all offers, deliveries and services of ThermoNetz AG. Deviating terms and conditions of the customer are only binding if they have been expressly recognized in writing by ThermoNetz AG.

2. offers and conclusion of contract

Our offers are subject to change and non-binding. Unless otherwise stated, quotations shall remain valid for a period of four weeks from the date of issue. A contract is concluded by a written order confirmation or the execution of the delivery.

3. prices

All prices are quoted in Swiss francs, excluding VAT, ex works, plus packaging, transportation and insurance, unless otherwise agreed.

4. terms of payment

Invoices are payable within 30 days net without deductions. Discounts or other deductions require an express written agreement. In the event of late payment, we reserve the right to charge interest on arrears.

5. new customers

ThermoNetz AG reserves the right to require advance payment of all or part of the amount for new customers or unknown contractual partners, unless a joint and several guarantee or a liability guarantee from a reputable bank or insurance company has been provided.

6. delivery times

Delivery times are not binding. ThermoNetz AG is not liable for delays caused by force majeure, supply problems or unforeseen events.

7. reservation of title

The delivered goods remain the property of ThermoNetz AG until payment has been made in full.

8. warranty

ThermoNetz AG warrants that the delivered products are free from material defects at the time of delivery. The warranty period is two years, unless otherwise agreed. The customer is obliged to inspect the delivery immediately and to report defects in writing within 10 days.

9. redemption

Returns are only possible with prior written consent. In this case, a processing fee may be charged.

10. data protection

Personal data will be treated in accordance with the applicable data protection regulations
and used exclusively for contract processing.

11 Place of jurisdiction and applicable law

Swiss law shall apply exclusively. The place of jurisdiction is the registered office of
ThermoNetz AG, unless a mandatory statutory place of jurisdiction exists.

12. reservation of right of amendment

ThermoNetz AG reserves the right to amend these GTC at any time. The version valid at the time of conclusion of the contract and published on the website or the version set out in the corresponding purchase contract shall apply.
